Terms and conditions of the Veoli Botanica PL and GLOBAL contest

(“CONTEST”)

1. ORGANISER AND SPONSOR OF THE CONTEST

1.1. The organiser and sponsor of the Contest is Veoli Botanica sp. z o.o., with its registered office in Warsaw (address: Aleja Stanów Zjednoczonych 61, 04-028 Warsaw, Poland), entered into the register of entrepreneurs kept by the District Court for the Capital City of Warsaw in Warsaw, XIV Commercial Division of the National Court Register under KRS number: 0000611831, NIP (tax ID): 1132907559, REGON: 364166661, with a share capital of PLN 30,000 (“Veoli Botanica” or “Organiser”).

2. DURATION OF THE CONTEST

2.1. The Contest begins on 12 July 2025 and ends on 19 July 2025 at 23:59 (CET).
2.2. The winners will be announced by 28 July 2025 in a comment under the contest post on the INSTAGRAM profile.

3. PARTICIPATION IN THE CONTEST

3.1. The Contest is open to individuals who are at least 18 years old and have full legal capacity, or minors with the consent of their parents or legal guardians to participate in the Contest and to provide personal data for the purpose of prize delivery if they win.

3.2. Employees and collaborators of the Organiser, as well as members of their immediate families, may not participate in the Contest. Immediate family members are defined as ascendants, descendants, siblings, spouses, spouses of siblings, relatives in the collateral line, and persons in an adoption relationship.

3.3. Participation in the Contest constitutes acceptance of these Terms and Conditions (“Terms”).

4. SUBJECT AND CONDITIONS OF THE CONTEST

4.1. To participate in the Contest, entrants must:

Write an answer under the contest post to the question: “What do you love most about conscious skincare?” in Polish or English.
Follow the Instagram profiles: @veoli_botanica and @veoli_botanica_global
Tag two people in the comment.
Accept the Terms and Conditions (participation in the Contest constitutes acceptance of the terms and the processing of personal data solely for the purpose of prize delivery).

4.2. Submitted responses must not contain content that:

violates the personal rights of third parties;
infringes any other rights of third parties, including copyrights, related rights, industrial property rights, trade secrets, or confidentiality obligations;
harms the interests of the Organiser or violates the Terms;
is offensive, vulgar, or contains threats directed at third parties;
violates applicable law, social norms, or customs.

5. SELECTION OF WINNERS

5.1. A contest committee appointed by the Organiser will select three winners based on the creativity of their answers. The committee consists of three employees of Veoli Botanica. Decisions of the committee are made by majority vote and are final.

5.2. Prizes:

Three prizes, each including three products from the VEOLI BOTANICA store with a total value not exceeding PLN 850.
A cosmetic consultation during which VEOLI BOTANICA products will be recommended.

If, pursuant to Article 30(1)(2) of the Polish Personal Income Tax Act of 26 July 1991, the awarding of prizes is subject to a flat-rate personal income tax of 10% of the prize value, the Organiser, as the tax remitter, will calculate, collect, and pay the tax due before awarding the prizes. To cover this tax, an additional cash prize of 11.11% of the total prize value (“Additional Cash Prize”) will be added. The Additional Cash Prize will not be paid to the winner but used solely to cover the tax obligation.

5.3. Winners will be notified via a private message on Instagram and in a comment under the contest post.

5.4. Winners must provide their contact details for delivery of the prize within 7 days of the announcement. Providing the data is voluntary; however, failure to provide it will make prize delivery impossible.

5.5. The Organiser is responsible for sending out the prizes.

5.6. The prize cannot be exchanged for cash or any other equivalent.

5.7. If a winner fails to provide their delivery details, declines the prize, or is disqualified by the Organiser, the committee may select a new winner from the remaining eligible participants as per point 5.1.

5.8. The Organiser may exclude a participant who does not meet the contest conditions, fails to comply with the Terms, provides false information, or does not provide the necessary information for prize delivery.

5.9. Any complaints regarding the Contest must be submitted in writing to the Organiser’s address specified in these Terms or via email to konsultacje@veolibotanica.pl within 30 days of the Contest’s end date. The Organiser will respond within 14 days of receiving the complaint.

6. INTELLECTUAL PROPERTY

6.1. By submitting any messages or other content as part of the Contest (“contest entries”), participants grant the Organiser a free, non-exclusive, transferable licence to use the economic copyrights to their contest entries (“Licence”) under the following terms:

The Licence is granted for an indefinite period.
The Licence covers all known fields of exploitation, in particular:
a) recording and reproducing – producing copies of the contest entry by any technique, including printing, reprography, magnetic recording, and digital techniques;
b) trading – placing originals or copies of the contest entry on the market, lending or renting them;
c) distributing – public performance, display, screening, playback, broadcasting by any means including satellite and digital platforms, online (especially social media), telecommunication services (e.g., SMS, audio, visual transmissions), or making the contest entry available so that anyone can access it at a place and time of their choice.
The Licence applies worldwide.

6.2. Additionally, participants:

Agree to the Organiser making modifications, including abridgements or incorporation into other works, and using these modifications on the fields of exploitation specified above.
Authorise the Organiser to exercise derivative copyright and grant permissions to third parties for the same.
Allow the Organiser to publish the contest entry anonymously or with attribution (at the Organiser’s discretion) and to destroy any fixation of the entry without additional consent.

6.3. By submitting an entry, participants declare that they are the sole authors of their entry, hold all economic copyright, and that no third party claims or rights exist.

6.4. Participants accept full responsibility for any infringement of third-party rights and agree to indemnify the Organiser against any claims arising from the granted Licence or the Organiser’s use of the contest entry.

6.5. The Licence also entitles the Organiser to use the contest entries for promotional and advertising purposes related to the Contest, the Organiser, or any of its promotional campaigns.

6.6. The Organiser may grant sublicences to third parties within the scope of these Terms.

7. FINAL PROVISIONS

7.1. The Organiser declares that the Contest is not a game of chance, lottery, mutual bet, promotional lottery, or any other form of random game within the meaning of the Polish Act on Gambling of 29 July 1992.

7.2. The Organiser reserves the right to amend the Terms or cancel the Contest at any time without providing reasons.

7.3. The Contest is in no way sponsored, endorsed, administered by, or associated with Instagram.

7.4. Instagram is released from any liability related to the organisation and conduct of the Contest.

8. DATA PROTECTION NOTICE

8.1. The data controller is Veoli Botanica sp. z o.o., Aleja Stanów Zjednoczonych 61, 04-028 Warsaw, Poland, registered under KRS: 0000611831, NIP: 1132907559, REGON: 364166661 (“Controller”).

8.2. The Controller has appointed a Data Protection Officer (DPO): iodo@veolibotanica.pl or the company address provided above.

8.3. Personal data will be processed under Article 6(1)(a) and (b) of the GDPR (Regulation (EU) 2016/679).

8.4. Personal data may be shared only with entities authorised by law or contracted service providers (e.g., IT service providers, email providers).

8.5. Data will be stored as necessary for the organisation, conduct, and archiving of the Contest and delivery of the prize, and for at least 5 years if financial operations occurred in connection with the Contest.

8.6. Participants have the right to access, rectify, delete, or restrict processing of their data.

8.7. Participants may lodge a complaint with the President of the Personal Data Protection Office if they believe their data is being processed unlawfully.

8.8. Providing personal data is voluntary but necessary to participate in the Contest. Failure to provide data means participation is not possible.
